STAGELINK GmbH Terms and Conditions for Fans

STAGELINK GmbH, Legiendamm 8, 10179 Berlin (hereinafter called 'STAGELINK') operates the STAGELINK website under the addresses www.stagelink.de and www.stagelink.com among others (hereinafter collectively named ‘stagelink.com’). STAGELINK is not the promoter, host or organizer of the shown events. These are offered by the respective organizer who also issues the tickets. Through a ticket purchase a contract is established only between the ticket buyer and the respective event organizer, potentially including terms and conditions of the organizer. STAGELINK distributes tickets on behalf of the organizer, except for cases where STAGELINK is explicitly identified as the organizer. With the order of any tickets the buyer instructs STAGELINK to process ticket purchase and delivery.

  1. Jurisdiction
    1. These general terms and conditions ('terms and conditions') apply exclusively to the use of stagelink.com, as well as to all ticket purchases made by fans and brokered by STAGELINK as described in Section 13 of the German Civil Code (hereinafter called 'fan') for events, who advertise artists, promoters, or their representatives (hereinafter collectively called 'manager') on stagelink.com (hereinafter called 'tickets'). The fan’s terms and conditions shall only become part of the contract when it is explicitly agreed upon in writing. In addition, the manager’s general terms and conditions shall apply to the sales contract between the fan and the manager. STAGELINK shall timely and appropriately inform the fan about these general terms and conditions as part of completing the contract. STAGELINK shall make the general terms and conditions available in writing for the fan at the latest after the contract is completed.
    2. Only natural, legally competent people may register and purchase tickets as a fan.
  2. Object of the Contract
    1. STAGELINK firstly offers fans the opportunity to express their desire to attend an event - e.g. an event - of one of the artists registered on stagelink.com in a city chosen by the fan. To this end, the fan shall fill out the form provided on the artist’s profile page on stagelink.com and in addition, shall select the desired city and state the highest price that the fan is willing to pay for a ticket.
    2. Should the manager in question decide to comply with the aforementioned request, then the manager shall specify the city, date, ticket price as well as minimum revenue amount to be generated by ticket sales and minimum amount of tickets sold respectively (also known as the 'goal').
    3. Fans can then purchase tickets at the price set by the manager. However, events shall only take place if the goal for the event that was set by the manager via stagelink.com is met or if the manager decides to organize the event despite not reaching the goal.
    4. Should the event not take place, then individual ticket sales shall be reversed and fans shall receive back the entire sum of the paid ticket price.
    5. Should the goal be reached, then the manager shall specify further details about the event and if necessary, can also continue to sell tickets via other channels in addition to stagelink.com.
    6. Next to this possibility to organize events according to the fans’ desires, the manager may also create events and sell tickets for those which have not been explicitly demanded by fans.
    7. STAGELINK shall solely act as a liaison for the closing of the contract and processes ticket sales for the corresponding manager; STAGELINK only acts as an intermediary with respect to managers' services, particularly the preparation of valid tickets and the execution of events, and does not act as a contract party for the fan. These services may solely be requested from the manager. Therefore, STAGELINK assumes no liability.
    8. There is no right to register and participate in STAGELINK. STAGELINK particularly reserves the right to reject a user as a fan.
    9. Under no circumstances shall the fan be authorized to pass on his login information and in particular, his password, to third parties. However, should third parties obtain access to a fan's account or should the fan otherwise have evidence of misuse of his account, then the fan must immediately inform STAGELINK about it and change his login information.
    10. STAGELINK shall not pass on login information to third parties nor request it from a fan by e-mail or phone.
    11. Should transactions be carried out under the fan's login data, then the fan must assume responsibility for these transactions, unless he timely notifies STAGELINK about the loss of his login information or any other suspicion of abuse.
    12. The fan shall not be entitled to register multiple times on stagelink.com. A user account shall not be transferable.
    13. STAGELINK shall make every effort to make stagelink.com available on an average of 95% of the time per year. This does not include downtime required for work to improve security or server integrity or to carry out technical measures and work that serves to bring proper or improved STAGELINK services (maintenance work).
  3. STAGELINK's Services
    1. STAGELINK shall sell the tickets to the fan for the manager's event on behalf of and on account of the respective manager and take responsibility for payment processing, meaning STAGELINK shall receive payment from the fans and relay it to the appropriate manager. Due to a corresponding agreement, STAGELINK has been tasked with taking over arbitration and processing of the contracts between the fan and the manager.
    2. STAGELINK does not vouch for the nature or accuracy of the data displayed online, particularly information related to the event in question. They shall be made available exclusively by the manager of the event and the tickets offered on stagelink.com.
    3. Payment processing for products purchased shall be exclusively made through the payment methods stated on stagelink.com. STAGELINK reserves the right to exclude or amend certain payment methods in individual cases. The fan shall be informed of each available payment method during the course of the purchasing process.
  4. Registering for stagelink.com and Contract Conclusion upon Purchasing Products
    1. Registration on stagelink.com is required in order to purchase a manager's event tickets.
    2. The fan concludes registration with the explicit acceptance of these terms and conditions, as well as the privacy statement, and by clicking on the 'Log in with Facebook' button, the ‘Buy tickets’ or the ‘Buy now’ button.
    3. Purchasing a ticket on stagelink.com shall take place as follows:
    4. Fans can choose an event that has been created by a manager using stagelink.com's various integrated features.
    5. Should the event that the fan desires be initiated by a manager, then the fan can buy the ticket. The clicking of the 'purchase ticket' or ‘Buy now’ button by the fan constitutes the offer relevant for the closing of the contract. The issuance of a confirmation e-mail via STAGELINK constitutes an acceptance of the offer by the manager.
    6. Should STAGELINK be unable to successfully process payment due to reasons for which both STAGELINK and the manager are not responsible, then the manager shall be authorized to withdraw from the contract by means of a declaration through STAGELINK. The fan shall bear any costs that arise for STAGELINK due to the failed payment (e.g. return debit note costs or a chargeback for credit card payments).
    7. A right to cancel for consumers is not applicable to contracts regarding the provision of services in the domain of leisure activities, if the contract includes a specific date or time period (§ 312g oft he German Civil Code). Thus there is no right to cancel the purchase of tickets for events. Every order via STAGELINK is binding upon confirmation by STAGELINK, in particular after reception of a ticket, and obligates to accept and pay the ordered tickets.
    8. It is up to STAGELINK and the manager to grant ticket cancellations as a matter of fair dealing. If STAGELINK agrees to a cancellation request, cancellation fees accrue to the amount of EUR 10.
    9. Ticket buyers and fans are obligated to use the tickets purchased on STAGELINK for personal use only. In particular it is prohibited to pass tickets, sell tickets or purchase tickets on behalf of a third party for commercial reasons if not previously granted by the organizer or manager.
  5. Event Information and Descriptions
    1. The information, images, and descriptions, and particularly, the event location, date, and ticket price shown on stagelink.com, are made available by the appropriate managers. STAGELINK does not vouch for the accuracy and completeness of the information, images, and descriptions shown on stagelink.com.
    2. Each of the photos and depictions used are only for illustrative purposes. They are tentative and are subject to change.
  6. Prices and Payment
    1. The price stated on stagelink.com is binding and constitutes the end price for the amount of tickets specified by the fan incl. value added tax.
    2. The fan may only set off claims that are uncontested or recognized by the appropriate manager. The fan may only be authorized to exercise his right of retention if the claims asserted by him are based on the same contractual relationship.
    3. Payment of purchased tickets shall be made to STAGELINK. The fan shall be informed of each valid payment method on stagelink.com during the course of the purchasing process.
    4. If payment is conducted using the electronic direct debit system (EDD) by providing the number of your bank account (IBAN) and the bank code (BIC) the ticket buyer or fan has to ensure the account has sufficient funds available. If wrong account information is provided, the bank refuses to settle the amount or funds are retransferred, the ticket buyer or fan is obligated to reimburse cancellation fees to the amount of EUR 10. Additionally STAGELINK has the right to disable the purchased tickets without further notice. Thereafter, entry to the respective events is no longer possible with these tickets.
  7. Liability
    1. STAGELINK shall only be liable for the orderly brokerage of the contract relating to the purchasing of tickets and for the orderly remittance of information, advertisements, declarations of intent, as well as payment between the fan and the manager. The procurement of purchased tickets, as well as the execution of the event in question, is the sole responsibility of the corresponding manager. The fan shall only have a right to demand the rendering of these services from the same. STAGELINK shall not be liable for this.
    2. STAGELINK's liability for breach of contractual obligations, as well as for torts shall be limited to willful intent and gross negligence. This shall not be valid in the case of injury to life, bodily and health, as well as breach of rights due to a breach of cardinal obligations and reimbursement for damage caused by delay (Section 286 of the German Civil Code). In this respect, STAGELINK shall be liable for every degree of culpability. Responsibility in the case of breach of cardinal obligations shall be limited to damage that is normally foreseeable. Cardinal obligations according to these terms and conditions are those obligations, which initially make it possible to duly execute this contract and reach its goal and on whose adherence the fan can normally rely on.
    3. Insofar as liability for damages for minor negligence not attributable to injury to life, bodily or health injuries is not excluded, such claims shall lapse within a year starting with the submission of the claim.
    4. STAGELINK does not vouch for the accuracy, quality, or completeness of content or information on stagelink.com made available by fans or managers. The publication of content made available by fans or managers does not constitute an opinion of STAGELINK. STAGELINK in particular shall not claim this content as its own.
    5. Descriptions and pictures on stagelink.com, brochures, catalogs or other advertising materials does not constitute a warranty from STAGELINK to fans and shall not become part of the brokerage contract.
  8. Duration, Blocking, and Cancellation
    1. This contract shall be concluded for an indefinite period of time. It shall begin upon account activation by the fan via STAGELINK.
    2. The fan may duly cancel the contract giving two weeks' notice from the end of the month per e-mail at info@stagelink.com.
    3. The fan is aware that he must fulfill all obligations that he has entered, up to cancellation of the contract, towards both STAGELINK and any contractual partners, especially the managers.
    4. STAGELINK may duly cancel the contract giving two weeks' notice from the end of the month.
    5. The right to terminate without notice on the grounds of an important reason shall remain unaffected. STAGELINK may especially annul the contract without notice if the fan repeatedly breaches other contractual obligations and continues his breach of obligations even after a request from STAGELINK.
    6. Insofar as STAGELINK has annulled the contract, the fan shall have no right to create a new account, neither under another name nor under another title.
    7. All cancellations are to be made in writing. E-mail cancellations comply with the condition of written termination.
  9. Form of Declarations
    Legally relevant declarations and reports, which STAGELINK or a manager or another third party must present to the fan, must be made in writing. Unless expressly agreed otherwise, an e-mail shall suffice for this.
  10. STAGELINK Trademark Rights
    The content of stagelink.com and every other required software that is used in conjunction with stagelink.com are protected by property rights and contain confidential information, which is protected by legal regulations, particularly those that protect intellectual property. The same shall apply for content in advertisements from STAGELINK and managers or other third parties on stagelink.com and information that the fan obtains from stagelink.com or from advertisers. These are protected by copyright, trademarks, patents, or other property rights or laws. Provided that STAGELINK or the third parties in question have not declared their consent therewith, the fan may not partially or fully change, rent, lease, loan, sell, distribute, or alter any works that are available or accessible on stagelink.com or that are based on STAGELINK Software.
  11. Changes to Terms and Conditions
    STAGELINK reserves the right to modify these terms and conditions. The latest version of the terms and conditions are available for download at stagelink.com The fan shall receive the planned new draft of these terms and agreements per e-mail at the very latest a month before it comes into effect and the fan shall be informed of the planned changes. Should the fan fail to object to the validity of the new terms and conditions within a month after it comes into effect, then the new terms and conditions shall be deemed as accepted. STAGELINK shall separately inform the fan about the importance of the one-month period and his right of objection, as well as the legal consequences of silence in the appropriate form.
  12. Choice of Law/Place of Jurisdiction/Miscellaneous
    1. The laws of the Federal Republic of Germany shall apply to this contract excluding the United Nations Convention on Contracts for the International Sale of Goods.
    2. Should the fan have no place of jurisdiction in Germany or in another EU member state or should he be a salesman or have changed his permanent place of residence to a location abroad after this contract has come into effect or should his permanent place of residence or usual place of residence be unknown at the time of the filing of the suit, then the exclusive place of jurisdiction for all litigation arising from this contract shall be at the registered office of the manager from whom the fan obtains the tickets.
    3. Should certain provisions of these user conditions be or become null and void and/or contradict legal regulations, then the effectiveness of the remaining terms and conditions shall remain unaffected. The parties shall consensually replace the void provision with a provision, which best corresponds to the economical aim and object of the void provision in a legally valid manner. The aforementioned regulation shall apply in case of an omission.

STAGELINK distributes tickets on behalf of the organizer, except for cases where STAGELINK is explicitly identified as the organizer.   1. Jurisdiction
    1. These general terms and conditions ('terms and conditions') apply exclusively to the use of stagelink.com, as well as all ticket sales for events made by buyers as described in Section 13 of the German Civil Code (hereinafter called 'fan'), brokered by STAGELINK and offered by artists, promoters or their representatives (hereinafter collectively called 'manager') on stagelink.com (hereinafter called 'tickets'). The manager’s Terms and Conditions shall only become part of the contract when it is explicitly agreed upon in writing. In addition, the manager’s terms and conditions shall apply to the sales contract between the fan and the manager.
    2. Registration and sale of tickets as a manager shall only be authorized for legally competent, natural, and legal person who in so doing are contractors as defined by section 14 of the German Civil Code, meaning those who practice their independent or commercial activities when selling. Registration of legal persons or business partnerships may only be carried out by an authorized representative, who must be named. Only individual people may be named as owners of the account upon registration (but not family, married couples or the like).
  2. Object of the Contract
    1. STAGELINK gives managers on stagelink.com the opportunity to announce an event in a city chosen by the manager under the conditions set forth by the manager (ticket prices etc.). To that end, the manager shall fill out a form provided on stagelink.com.
    2. In addition, STAGELINK offers fans the opportunity to express their desire attend an event of one of the artists registered on stagelink.com in a city chosen by the fan. The manager has the ability to comply with the aforementioned request. Should the manager do this, then the manager shall specify the city, date, ticket price, and the minimum revenue amount to be generated by ticket sales and minimum amount of tickets sold respectively (also known as the 'goal').
    3. Fans can then purchase tickets at the price set by the manager. Events shall take place if the goal for the event that was set by the manager via stagelink.com is met or if the manager decides to organize the event despite not reaching the goal.
    4. Should the event not take place, then individual ticket sales shall be reversed and fans shall receive the entire sum of the paid ticket price from STAGELINK.
    5. Should the minimum sales amount be reached, then the manager shall specify further details about the event and if necessary, can also continue to sell tickets via other channels.
    6. Next to this possibility to organize events according to the fans’ desires, the manager may also create events and sell tickets for those which have not been explicitly demanded by fans.
    7. The manager must inform STAGELINK about the chosen event venue's capacity so that STAGELINK can sell tickets for the event until there are no more tickets available (meaning the event venue is sold out). Should the manager wish to sell tickets via other channels then this must ensue in consultation with STAGELINK, meaning the manager must inform STAGELINK about how many tickets can still be sold via STAGELINK.
    8. STAGELINK shall solely act as a liaison for the closing of the contract and processes ticket sales for the corresponding manager; STAGELINK only acts as an intermediary with respect to managers' services, particularly the preparation of valid tickets and the execution of events, and does not act as a contract party for the fan. These services may solely be requested from the manager. Therefore, STAGELINK assumes no liability.

  3. STAGELINK's Services
    1. STAGELINK shall sell the tickets to the fan on behalf of and on account of the manager and take responsibility for payment processing meaning STAGELINK shall receive payment from the fans and relay it to the appropriate manager. The manager shall commission STAGELINK with brokering and processing the contract between the fan and the manager and to give the explanations required for this, as well as carrying out actions.
    2. The corresponding fan shall be the sole contractual partner of the manager upon sale of tickets on stagelink.com.
    3. The manager shall only provide correct and complete data and information on stagelink.com The manager shall guarantee that data, information, and other content provided on stagelink.com, in particular images, videos, and audio files, are free of any rights of third parties and do not infringe any laws. STAGELINK shall not be responsible for the nature or the accuracy of the data shown online. The manager shall exempt STAGELINK from all damages and claims that are asserted against STAGELINK due to a manager's infringement upon the aforementioned guarantee or other provisions of these general terms and conditions or due to other breaches of duty by the manager.
    4. The manager shall agree to not remit user data to third parties, which he obtains as part of his use of stagelink.com, without express approval or to use them in a commercial manner in any way. In particular, the manager shall not send commercial e-mails to other users without prior express approval or otherwise contact them beyond the extent required to process transactions made on stagelink.com.
  4. Registering for stagelink.com and Contract Conclusion upon Selling Tickets
    1. Registration on stagelink.com is required in order sell tickets to fans via stagelink.com.
    2. The manager concludes registration with the explicit acceptance of these terms and conditions, as well as the privacy statement, and by clicking the ‘Connect’, the “Create event’ button.
    3. Selling a ticket on stagelink.com shall take place as follows:
    4. The manager sets up the event for which he would like to sell tickets via stagelink.com, using his manager access on stagelink.com
    5. Fans can choose the event for which they would like to purchase tickets via the many features integrated into stagelink.com.
    6. Should a ticket offered by a manager be purchased by a fan, then the manager can see this on stagelink.com Should the goal according to clause 2.2 be reached, then the manager shall be informed about this per e-mail at the e-mail address he provided when registering.
    7. The clicking of the ‘Buy ticket' or ‘Buy now’ button by the fan constitutes the offer relevant for the closing of the contract. The issuance of a confirmation e-mail via STAGELINK constitutes an acceptance of the offer by the manager.
  5. Event Information and Descriptions
    1. The manager shall be responsible for providing event information and relevant descriptions on the STAGELINK platform. STAGELINK does not provide this.
    2. The manager hereby grants STAGELINK the non-exclusive, temporal, territorial, and content right to use all material created by the manager, particularly event data, descriptions, and pictures for the purpose of using them on stagelink.com as well as for advertising stagelink.com and the events and tickets advertised on stagelink.com in all media, both offline and offline. To this end, the manager particularly grants STAGELINK the right to edit, reproduce, disseminate, demonstrate, and the right to make public, as well as broadcasting rights.
    3. The manager shall guarantee that he is authorized to use the aforementioned material, as well as to grant the aforementioned rights. The manager shall exempt STAGELINK from all damages and claims that any third parties may assess due to use of the aforementioned material in accordance with these terms and conditions. This particularly encompasses reasonable legal defense costs.
  6. Compensation
    1. Unless expressly agreed otherwise, the manager shall pay STAGELINK 15% of the corresponding ticket price (plus 19% VAT) for the use of stagelink.com and the brokerage of the contract regarding the sale of tickets between the fan and manager through STAGELINK.
    2. After the event takes place, STAGELINK shall pay the manager the remaining revenue from ticket sales after deduction of the compensation due to STAGELINK according to clause 6.1.
    3. The manager shall be responsible for reversing ticket purchases from fans, where the goal according to clause 2.2 was not reached. In this case, the manager is responsible for ensuring that those fans that have already acquired and purchased a ticket via stagelink.com receive a refund of the purchase price for those tickets.
  7. Liability
    1. STAGELINK shall only be liable for the orderly brokerage of the sales contract and for the orderly remittance of information, advertisements, declarations of intent between the fan and the manager.
    2. STAGELINK's liability for breach of contractual obligations, as well as for torts shall be limited to willful intent and gross negligence. This shall not be valid in the case of injury to life, bodily and health, as well as breach of rights due to a breach of cardinal obligations and reimbursement for damage caused by delay (Section 286 of the German Civil Code). The publication of content made available by fans or managers does not constitute an opinion of STAGELINK. STAGELINK in particular shall not claim this content as its own.

Any applicable outstanding compensation shall be due upon contract termination. In addition, the manager can have an artist he represents removed from stagelink.com by sending an e-mail to info@stagelink.com.
    3. The manager is aware that he must fulfill all obligations that he has entered, up to cancellation of the contract, towards both STAGELINK and any contractual partners, especially the fans. In particular, definite events during the contract termination period are to be executed and the resulting obligations are to be met.
    4. STAGELINK may duly cancel the contract giving two weeks' notice from the end of the month.
    5. The right to terminate without notice on the grounds of an important reason shall remain unaffected. STAGELINK may especially annul the contract without notice if the manager repeatedly breaches contractual obligations and continues his breach of obligations even after a request from STAGELINK.
    6. Insofar as STAGELINK has annulled the contract, the manager shall have no right to create a new account, neither under another name nor under another title.

Should the manager fail to object to the validity of the new terms and conditions within a month after it comes into effect, then the new terms and conditions shall be deemed as accepted.
  12. Choice of Law/Place of Jurisdiction/Miscellaneous
    1. The laws of the Federal Republic of Germany shall apply to this contract.
    2. The exclusive place of jurisdiction for all legal disputes arising from this contract shall be the registered office of STAGELINK.
    3. Should certain provisions of these user conditions be or become null and void and/or contradict legal regulations, then the effectiveness of the remaining terms and conditions shall remain unaffected. The parties shall consensually replace the void provision with a provision, which best corresponds to the economical aim and object of the void provision in a legally valid manner. The aforementioned regulation shall apply in case of an omission.
